You are responsible for providing accurate contact information and updating it when necessary.

Clients engaging Clickerra's services agree to:
Provide accurate business information and project requirements.
Supply necessary website access, advertising account access, brand assets, and other materials.
Ensure they have the necessary rights and permissions for materials they provide.

Fees and Payments
Service fees, payment schedules, advertising management fees, and applicable taxes will be specified in the relevant proposal or service agreement.
Unless otherwise agreed in writing:
Payments must be made by the due dates stated on invoices.
Advertising spend paid to Google, Meta, or other platforms is separate from Clickerra's service fees unless explicitly included in the agreement.
Clients are responsible for third-party subscription costs, software licenses, hosting charges, and other expenses identified in their agreement.
The applicable agreement and law will govern any late payment consequences.
We may suspend or pause services for overdue payments after providing any notice required by the applicable agreement or law.
Advertising Budget and Third Party Platforms
Clickerra may manage advertising campaigns through platforms such as Google Ads and Meta Ads.
Unless explicitly agreed otherwise, advertising budgets are paid by the client directly to the relevant advertising platform and are separate from Clickerra's management fees.
Clickerra does not own or control third-party advertising platforms. We cannot guarantee uninterrupted access, approval of advertisements, account availability, advertising costs, or platform policies.
Clients are responsible for ensuring that their advertisements, products, services, claims, and landing pages comply with applicable laws and relevant platform policies.
Any account restrictions, policy changes, technical issues, or service interruptions imposed by third-party platforms may affect campaign delivery.
SEO and Marketing Results
Digital marketing performance depends on several factors, including competition, market conditions, website quality, budget, customer behaviour, search engine algorithms, and third-party platform policies.
Clickerra will use reasonable professional efforts to provide the services described in the applicable agreement. However, we do not guarantee:
Specific search engine rankings.
A particular number of website visitors or leads.
Guaranteed sales, revenue, or return on advertising spend.
Specific conversion rates or business growth.
Approval or uninterrupted delivery of advertisements.
A fixed timeframe for achieving marketing results.
Any estimates, projections, forecasts, or performance targets are indicative unless expressly guaranteed in a written agreement.
Intellectual Property
Unless otherwise agreed in writing, Clickerra retains ownership of its pre-existing materials, proprietary processes, methodologies, templates, tools, and know-how.
The applicable service agreement will determine ownership and usage rights for final deliverables created specifically for a client. Where that agreement provides for client ownership after full payment, the transfer will be subject to its stated terms.
Clients retain ownership of materials they provide to Clickerra and grant us the limited permissions necessary to perform the agreed services.
No part of our website, branding, original content, or proprietary materials may be reproduced, distributed, or commercially exploited without prior written permission, except where permitted by law.
Confidentiality
Both parties should take reasonable steps to protect confidential business, technical, financial, and operational information shared during an engagement.
Confidential information should be used only for the purposes of the engagement and should not be disclosed to unauthorized parties, except where disclosure is authorized, necessary for service delivery under appropriate safeguards, or required by law.
Any additional confidentiality obligations in a signed agreement will also apply.
Third Party Services and Links
Our website and services may rely on third-party tools, websites, software, hosting providers, analytics services, and advertising platforms.
These services may be governed by separate terms and privacy policies. Clickerra is not responsible for third-party services to the extent that issues arise outside our reasonable control, subject to applicable law and any obligations we have expressly accepted.
Links to third-party websites are provided for convenience and do not necessarily constitute an endorsement.
Website Availability and Accuracy
We aim to keep our website accurate, accessible, and up to date. However, we do not guarantee that the website will always be available, error-free, or free from security vulnerabilities.
Website content is provided for general informational purposes and may be updated or corrected without prior notice.
Nothing on our website constitutes legal, financial, or other professional advice specific to your circumstances.
Limitation of Liability
To the extent permitted by applicable law, Clickerra will not be liable for indirect, incidental, special, consequential, or punitive losses, or for loss of profits, revenue, business opportunities, data, or goodwill arising from the use of our website or services.
Our liability for a particular engagement will be determined by the applicable service agreement and applicable law.
Nothing in these Terms & Conditions excludes or limits liability that cannot legally be excluded or limited, including any mandatory consumer rights or other protections that apply.
Indemnification
To the extent permitted by law, you agree to be responsible for claims, losses, liabilities, and reasonable expenses arising from your unlawful use of our website or services, your breach of these Terms & Conditions, or materials you provide that infringe another party's rights.
This provision does not apply to the extent a claim results from Clickerra's own breach, negligence, misconduct, or other conduct for which responsibility cannot legally be excluded.
Suspension and Termination
Either party may terminate a service engagement in accordance with the applicable written agreement.
If no separate termination terms have been agreed, either party may request termination by providing written notice and allowing a reasonable period to address outstanding obligations, subject to applicable law.
Upon termination, clients remain responsible for fees and approved expenses incurred up to the effective termination date, as determined by the applicable agreement.
We may suspend or terminate website access or services where necessary to address unlawful activity, security threats, material breaches, or non-payment, subject to applicable contractual and legal requirements.
Privacy
Our collection and use of personal information are described in our Privacy Policy.
By using our website or services, you acknowledge that you can review our Privacy Policy at https://clickerra.com/privacy-policy/.
Where consent is required by applicable law, it will be obtained separately before the relevant processing takes place.
Changes to These Terms
We may revise these Terms & Conditions from time to time.
Updated terms will be published on this page with a revised “Last Updated” date. Changes will apply prospectively where required by law. Changes to existing client engagements will be governed by the relevant agreement and applicable law.
We encourage you to review this page periodically.
Governing Law and Disputes
These Terms & Conditions will be governed by the laws applicable to the agreement and the parties, as specified in a separate written agreement where applicable.
If a dispute arises, the parties should first attempt to resolve it through good-faith discussions. If the dispute cannot be resolved informally, it may be referred to the appropriate courts or dispute resolution process as permitted by applicable law.
Nothing in this section removes any mandatory legal rights or protections available to a party.
